The three roles the rule separates
In both modes different parties appear: the one who truly acquires the goods and folds them into its business, the one named on the import declaration, and the one who executes clearance. The point that settles most confusion is not who pays what, but at which moment commercial ownership changes hands — because that is what defines the outbound paperwork and the tax credit.
Importation by third-party account
Here the company that imports in the system buys in its own name but on behalf of the real acquirer, who chose the supplier, negotiated the price and will use or resell the goods. The registered importer is an agent: its name carries the declaration and it discharges the clearance obligations, while the acquirer remains the economic owner. It is the arrangement used by companies without their own authorisation, or that do not want to maintain one — with matching cost and responsibility.
Contract importation
In this mode the importing company buys on its own account and order — it is a genuine acquirer — and then resells the cleared goods to the party that commissioned them. The practical difference for the commissioner is that they receive a domestic sale of already cleared goods, not a return of account-and-order items. That changes the document flow, the timing and how the cost appears, which is why the two modes are not synonyms in a quote.
The risk nobody warns about: documentary trail
What causes most trouble in these operations is not clearance but the consistency after it: product description, quantity, value, tariff classification and payment data must follow the same goods from the commercial invoice to the domestic outbound invoice. When the data diverges between stages, the result is denied credit, penalties, holds or a question from the tax authority about an operation you do not perform yourself. The deal therefore belongs in a contract before shipment, not adjusted after clearance.
The conditions and where to read the rule
Requirements for the parties, who collects each tax, registration deadlines and the cases where the mode is barred are set out in the specific Brazilian Federal Revenue norm governing these two modes, together with the instruction disciplining customs import clearance. Because the matter is regulated by normative acts that can change without a new law, confirm the text in force before closing the arrangement. If the operation involves goods used in the production chain, the purpose of the merchandise must also be verified.
How to decide which arrangement to use
Three questions order the choice: do you have (or want to keep) your own authorisation and registration; who answers to the authority if the documents diverge; and which format leaves the least documentary twisting between arrival and sale. Occasional importers usually accept paying for intermediation; regular importers usually discover that the cost of maintaining their own registration is lower than the cost of repeating the operation through third parties.
